Vietnam market updates: Potential Risk of shifting price on E-Commerce marketplaces After Circular 40
On average, there are now more than 35 million transactions per day through Vietnamese e-commerce marketplaces. Revenue in 2020 is up to USD 11.8 billion, accounting for about 5.5% of total retail sales of goods and services. In order to avoid loss of budget revenue, the Tax sector will force exchanges such as Shoppe, Tiki, Lazada, Sendo … to deduct tax directly on the seller’s revenue.

According to the latest regulations in Circular 40 of the Ministry of Finance, from August 1, 2021 onwards, businesses with an annual income of 100 million VND or more will have to pay value added tax and personal income tax. The applicable tax rate is 1.5% on turnover, including 1% value-added tax rate and 0.5% personal income tax.
Possibility in price movement
Circular 40 of the Ministry of Finance indicates that individuals selling goods on Vietnamese e-commerce platforms will be taxed on sales. In reference to the revenue and other profits received by trading, including the amount received through the shipping unit – COD, forms of payment intermediaries, etc.
According to the national law, retailers and businesses trading in e-commerce marketplaces must follow these rules:
- Personal name/business representative
- Address of the head office or permanent residence of the individual
- Information about business registration certificate or personal MST
- Phone number
- Information about goods and services
- Information about prices and payment methods.
- Information about shipping and forwarding.
There are two available methods for businesses which trade through e-commerce marketplaces to pay taxes: presumptive method or the declaration method.

In case tax has been declared on behalf of, based on the revenue and tax paid shown on the voucher issued by the e-commerce marketplaces to declare and adjust the revenue and tax rate at the tax authority managing the exchange.
Otherwise tax has not been declared on behalf, the owners shall base on the business results through the exchange (according to the vouchers issued by the exchange) and the business results at the fixed location to declare and pay tax at authority managing the fixed location.

Previously, sellers only had to take a revenue deduction as a requirement from e-commerce marketplaces without paying taxes, which made the price tag be more competitive than price at brick-and-mortar stores. After Circular 40 of the Ministry of Finance, there will be direct impacts on the revenue of sellers on e-commerce platforms, possibly changing the selling price and pricing policies.
However, up to now there is no information about the changes of the exchanges in this regard!
Circular 40 regulations for E-commerce marketplaces
In Clause 1, Article 8 of Circular No. 40/2021/TT-BTC (Circular 40) just issued by the Ministry of Finance on June 1, it is clearly stated that: E-commerce marketplaces shall declare and pay taxes according to the schedule of tax authorities. The tax amount declared on behalf of, or paid on behalf of, is based on the tax rates of each field and industry applicable to individuals doing business in selling goods and services on the floor.
All revenue and tax information for each order provided to buyers and sellers will be recorded by the e-commerce marketplaces.
E-commerce marketplaces are responsible for providing information to tax authorities in electronic form with data format standards as prescribed by the authorities. All current information databases of the Exchange must be updated and supplemented with information in accordance with regulations no later than August 1, 2021.
To sump up
E-commerce marketplaces act as an extension of the tax industry to support individuals to declare and pay taxes correctly and fully. In addition, the government needs to have regulations to better manage individuals selling on social networking platforms such as Google, Facebook, Youtube, TikTok… to ensure fairness among business organizations and individuals. .
Changing technical factors to serve the coordination in tax administration require e-commerce to upgrade their software and integrate more tax management functions. The Covid-19 pandemic is one of the causes of online shopping transactions on various e-commerce platforms increasing dramatically. Recently, Web Retailer published a list of the 10 most visited online marketplaces in Southeast Asia, in terms of number of visitors per month. Three of the most crowded lokapasar are from Indonesia.
Shopee
At the top, Shopee from Singapore is the marketplace with the most visitors in Southeast Asia to date, with a total of 197.8 million visits per month. Marketplace under the auspices of SEA Group company is now operating in eight countries, including in Indonesia, Singapore, Malaysia, Thailand, Taiwan, to Brazil.
Of the eight operating regions, Indonesia is listed as shopee’s largest market share which accounts for 76.2 million visits per month.
Lazada
Furthermore, the most visited e-commerce platform is Lazada, with a total of 161.7 million monthly visitors. Lazada has actually operated in several ASEAN countries. The most total visits came from Thailand (39.4 million), the Philippines (38.6 million), and Indonesia (29.3 million).

Bukalapak
According to Web Retailers data, Bukalapak currently has 26.8 million monthly visitors and sits fourth in Southeast Asia in terms of number of visits. Currently, Bukalapak has more than six million sellers and 70 million active users. In Bukalapak, there are reportedly on average two million trade transactions that occur every day.
Tiki
The next largest online marketplace in Southeast Asia comes from Vietnam, Tiki which has 22 million monthly visitors. Originally, the e-commerce platform, founded in 2010, was only intended to sell English-language books.
However, over time, Tiki transformed into a marketplace that sells a variety of products and expands to fast delivery services. In Vietnam itself, Tiki became the third largest e-commerce platform after Shopee and Lazada.
Blibli
In sixth place is Blibli. This Indonesian marketplace is recorded to collect a total of 15.8 million visitors per month. Not much different from other markets, Blibli also sells a variety of products and offers free shipping and interest-free credits on all its products. Blibli is also known to have a Global Seller Program to help international businesses by selling on its website.
Sendo
Sendo is a Vietnamese marketplace under FPT Corporation’s IT services group. Sendo launched in 2012 and sells products from a variety of categories, including fashion, homewares and electronics.
Now Sendo, which has 500,000 merhcant, has recorded 11.4 million visitors per month, sitting seventh in that regard in Southeast Asia.
Zalora
In eighth place was Zalora with a total of 7.6 million monthly visitors. Marketplace, which is part of the Global Fashion Group, was founded in 2012. Like some of the other e-commerce platforms on the list, Indonesia is Zalora’s largest market, followed by the Philippines, Singapore, and Malaysia. Zalora also has local sites in Taiwan and Hong Kong.
Qoo10
Qoo10 became the ninth most visited e-commerce platform in Southeast Asia. The Singapore-based marketplace is visited by 7 million users every month. Almost 90 percent of the visits came from Singapore itself. Qoo10 was founded in 2010 as a joint venture between eBay and the founder of Gmarket South Korea.
Amazon American e-commerce giant Amazon is also operating in Southeast Asia, in Singapore starting in 2019. However, according to data from TMO Group, the number of visits is still small compared to its competitors with the figure of 3 million per month.

[Boxme Update] New policy on VAT invoice issuance and payment deadline
With the aim to improve the service and deliver better customer experience, starting from May 2021 Boxme will automatically update VAT invoice information and payment due date (for postpaid customers) on Boxme system. So that customers can actively manage and download their VAT invoices.
Specifically, from May 2021 onwards, Boxme system will update customers’ usage bills including shipping costs (including collection fees, insurance, reimbursement,…) and fulfillment fees (including storage, handling, and packaging charges) for a period of 1 week from the 25th of each month, for charges incurred from the 24th of the previous month to the 25th of the current month.
As soon as the invoices are updated on the system, will the customer receive the information via registered email. Customers can easily download detailed invoices by email.
Alternatively, customers can access their order management system (OMS), select the left menu, go to the invoice section to export their VAT invoice, with a detailed list of service fee.
Note: For post-paid service customers, the payment is due no later than 14 days after receiving invoice. If customers fail to make the payment after the period of 14 days, the system will automatically close the remaining balance and order creating feature. As soon as the customer make payment, the system will automatically reopen the balance and all features as normal.
